By accessing or using simplixflow.com ("the Site") and the services offered by Simplixflow ("Services"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use the Site or Services.

• "Simplixflow", "we", "us" — the operator of this Site and provider of Services.
• "Client", "you" — any person or entity using the Site or engaging our Services.
• "Services" — automation, CRM, AI, and marketing solutions we deliver, including strategy calls, audits, and ongoing management.
• "Deliverables" — tangible outputs created for a Client under an engagement.

Simplixflow provides business automation, AI integration, CRM setup, and full-funnel marketing services. Specific scope, timelines, and pricing for any engagement are defined in a separate proposal, statement of work, or agreement. In the event of a conflict, that document governs the specific engagement while these Terms apply generally to Site use.

You agree to use the Site only for lawful purposes and not to:

• Violate any applicable law or regulation.
• Infringe the rights of others, including intellectual property rights.
• Attempt to gain unauthorized access to systems, accounts, or data.
• Introduce viruses, malware, or harmful code, or scrape content at scale.
• Use the Site to send unsolicited communications or spam.

Some features may require you to provide contact details or create access credentials. You are responsible for keeping credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use.

The Site, including its text, graphics, logos, design, and code, is owned by Simplixflow and protected by intellectual property laws. You may not copy, reproduce, or redistribute Site content without our written permission.

Upon full payment, Deliverables created for a Client are transferred to that Client to the extent agreed in the engagement document. Simplixflow retains the right to display non-confidential work in its portfolio unless otherwise agreed in writing.

To help us deliver Services effectively, Clients agree to:

• Provide accurate, timely information and access.
• Maintain any third-party accounts, platforms, or credentials required for the work.
• Review Deliverables promptly and communicate approvals or feedback within agreed timelines.
• Ensure they have the rights to any content or data they provide to us.

Fees, payment schedules, and refund terms are set out in the engagement document. Unless stated otherwise, invoices are due within the period specified on the invoice. Late payments may pause ongoing work until resolved.

The Site and Services are provided on an "as is" and "as available" basis. We do not guarantee specific business outcomes, revenue figures, or rankings, as results depend on many factors outside our control, including market conditions and Client execution.

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

To the maximum extent permitted by law, Simplixflow shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, data, or business interruption, arising from the use of the Site or Services.

Our total liability for any claim arising from Services is limited to the amount paid by the Client for the specific engagement giving rise to the claim.

You agree to indemnify and hold harmless Simplixflow from any claims, damages, or expenses arising from your misuse of the Site, your breach of these Terms, or content or data you provide to us.

Our Services may integrate with third-party platforms (such as CRM, email, analytics, and advertising tools). We are not responsible for the availability, accuracy, or practices of those third parties. Their terms and privacy policies apply to your use of their services.

We may suspend or terminate access to the Site or Services if you breach these Terms. Either party may end an engagement according to the terms in the engagement document. Sections that by their nature should survive termination — including intellectual property, liability, and indemnity — remain in effect.

These Terms are governed by the laws applicable to Simplixflow's place of operation. Any disputes will be resolved in the competent courts of that jurisdiction, without regard to conflict-of-law principles.

We may revise these Terms at any time. The "Last updated" date reflects the most recent revision. Continued use of the Site after changes constitutes acceptance of the updated Terms.
